By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of those changes.
2. Eligibility

3. Description of Services
3.1 Nature of Services
Shh provides an online platform that uses artificial intelligence algorithms to generate virtual and fictional AI companions ("AI Companions") for conversational and entertainment purposes.
3.2 AI-Generated Content
All AI Companions and content generated through our Services are entirely fictional and computer-generated. AI Companions are not real people, and their responses are generated by artificial intelligence systems. AI-generated content should not be relied upon for factual information, advice, or decision-making.
3.3 Entertainment Purpose
The Services are provided for entertainment and recreational purposes only. The Services are not intended to replace real human relationships, provide professional advice of any kind (including but not limited to medical, legal, financial, or psychological advice), or serve any purpose other than entertainment.
3.4 Service Availability
We strive to provide continuous availability of the Services but do not guarantee uninterrupted access.
4. Account Registration
4.1 Account Creation
You agree to provide accurate, current, and complete information; to maintain and promptly update your account information; to maintain the security of your login credentials; and to notify us immediately of any unauthorized access.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3 Account Restrictions
Your account is personal to you and may not be transferred, sold, shared, or assigned to any other person.
5. Subscriptions and Payments
5.1 Free and Paid Services
We offer both free and paid subscription tiers. Free users have access to limited features and messaging. Paid subscriptions ("Premium") unlock additional features as described on our pricing page.
5.2 Subscription Terms
Premium subscriptions are available on monthly and annual billing cycles. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
5.3 Pricing and Changes
All prices are displayed in USD unless otherwise specified. We reserve the right to modify pricing at any time. Price changes will not affect active subscription periods but will apply upon renewal.
5.4 Tokens and Credits
Some features require tokens or credits. Tokens may be included with subscriptions or purchased separately. Tokens have no cash value and cannot be exchanged for currency.
5.5 Payment Processing
Payments are processed by third-party payment processors. We do not store complete credit card numbers on our servers.
5.6 Failed Payments
If a payment fails, we may attempt to charge your payment method again. If payment cannot be processed after multiple attempts, your subscription may be suspended or downgraded to a free account.
6. Refund Policy
6.1 General Refund Policy
You may request a refund within 24 hours of your initial subscription purchase, provided you have not used more than 20 tokens or sent more than 50 messages. After this period, subscriptions are non-refundable except as required by applicable law.
6.2 EU/UK Consumer Rights
If you are a consumer in the European Union or United Kingdom, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason ("Cooling-Off Period").
6.3 How to Request a Refund

6.4 Non-Refundable Items

6.5 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew.
7. User Content and Conduct
7.1 User Content
"User Content" means any text, prompts, images, or other content that you submit, upload, or transmit through the Services. You retain ownership of your User Content, subject to the licenses granted herein.
7.2 Content Standards
You are solely responsible for your User Content. You represent and warrant that your User Content does not violate any law, infringe rights, contain false information, contain malware, or violate our content policies.
7.3 User Conduct
You agree to use the Services in a responsible manner and to comply with all applicable laws.
8. Prohibited Uses
You agree not to use the Services to engage in illegal activities; generate content depicting minors in any sexual or inappropriate context; create deepfakes or non-consensual intimate imagery of real people; harass or threaten others; engage in fraud, phishing, or impersonation; reverse-engineer or attempt unauthorized access; circumvent security; resell or commercially exploit the Services without authorization; or develop competing products using our Services.
WARNING: Violations of these prohibited uses, particularly those involving illegal content, content involving minors, or content depicting real individuals without consent, will result in immediate account termination and may be reported to law enforcement authorities.
9. Content Moderation
We implement content moderation controls to enforce our Terms and policies. If our systems detect potentially violating content, we may access and manually review flagged conversations and generated content.
If we determine that you have violated these Terms, we may warn you, remove violating content, suspend or terminate your account, report violations to law enforcement, or take legal action. To appeal an action, contact [email protected].
10. Intellectual Property
All intellectual property rights in and to the Services are owned by or licensed to Shh. You may not copy, modify, distribute, sell, lease, or create derivative works of any Company IP without our prior written consent. If you provide feedback or suggestions, you grant us an unrestricted license to use that feedback.
11. License Grants
11.1 License to Use Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
11.2 License to User Content
By submitting User Content, you grant us a non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, worldwide, perpetual license to use it for: providing the Services, improving and developing AI models, training using aggregated/anonymized data, quality assurance, and marketing (excluding personal information without consent).
11.3 AI-Generated Content
Content generated by AI Companions in response to your prompts is provided for your personal use, subject to these Terms. You may not claim AI-generated content was created by a human or misrepresent its origin.
12. Third-Party Services
The Services may contain links to third-party websites or integrate with third-party services. We are not responsible for their content, privacy practices, or terms. We may also use third-party AI and language model providers; your content may be processed by these providers subject to their terms and privacy policies.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Services will be uninterrupted, error-free, or secure; and warranties regarding the accuracy or completeness of any content. AI technology has inherent limitations, and AI-generated content may be inaccurate, inappropriate, or inconsistent.
The Services and AI-generated content are for entertainment purposes only and should not be construed as professional advice of any kind. You are solely responsible for your use of the Services and any consequences thereof.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LUVA AI LLC DBA SHH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for any claims arising out of or relating to these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Luva AI LLC dba Shh from claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: your use of the Services; your User Content; your violation of these Terms; or your violation of any rights of another party or applicable law.
16. Termination
16.1 Termination by You
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at [email protected].
16.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Reasons may include violation of these Terms, fraudulent or illegal activity, or extended inactivity.
16.3 Effect of Termination
Upon termination, your license to use the Services is immediately revoked, you lose access to your account, and we may delete your account data in accordance with our Privacy Policy.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
18.2 Arbitration Agreement
If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware and be conducted in English.
18.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
18.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights pending arbitration.
18.5 Consumer Rights
Nothing in this section shall limit any rights that cannot be waived under applicable consumer protection laws.
19. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date, notify you by email or a prominent notice, and provide at least 30 days' notice before material changes take effect (where feasible). Your continued use of the Services constitutes acceptance.
20. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shh. If any provision is found to be unenforceable, the remaining provisions shall remain in effect. Our failure to enforce any right shall not constitute a waiver. You may not assign these Terms without our consent. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
